Introduction
This purchase is regulated by the following standard terms and conditions for consumer purchases of goods over the Internet. Consumer purchases over the internet are primarily governed by the Contract Act, the Consumer Purchase Act, the Marketing Act, the Right of Withdrawal Act, and the E-Commerce Act, all of which provide the consumer with non-waivable rights. The laws are available at www.lovdata.no. The terms of this agreement shall not be construed as limiting the statutory rights but state the main rights and obligations of the parties involved in the transaction.
The sales conditions are prepared and recommended by the Norwegian Consumer Authority. For better understanding of these terms, see the Consumer Authority's guide here.
1. The Agreement
The agreement consists of these terms of sale, information provided in the ordering solution, and any specially agreed terms. In case of conflict, specially agreed terms between the parties take precedence, provided they are not in conflict with mandatory legislation.
The agreement is also supplemented by relevant legal provisions governing the purchase of goods between businesses and consumers.
2. The Parties
The seller is Adema, Utfrøyveien 960, 7270 Dyrvik,
The buyer is the consumer placing the order, referred to hereinafter as the buyer.
3. Price
The stated price for the goods and services is the total price the buyer shall pay. This price includes all taxes and additional costs. Additional costs not disclosed before purchase shall not be borne by the buyer.
4. Conclusion of the Agreement
The agreement is binding for both parties once the buyer has submitted their order to the seller.
However, the agreement is not binding if there is a typing or input error in the seller’s offer in the ordering solution or in the buyer’s order, and the other party realized or should have realized that there was an error.
5. Payment
The seller may require payment from the time the item is shipped to the buyer.
If the buyer uses a credit or debit card, the seller may reserve the purchase amount on the card at the time of order. The card is charged on the same day the item is shipped.
When paying by invoice, the invoice will be issued to the buyer when the item is shipped. The payment deadline is a minimum of 14 days from receipt.
Buyers under the age of 18 cannot pay via post-payment invoice.
6. Delivery
Delivery occurs when the buyer, or their representative, takes possession of the item.
If no delivery time is stated, the seller must deliver the item without undue delay and no later than 30 days after the order. Delivery is made to the buyer unless otherwise agreed.
7. Risk of the Goods
Risk transfers to the buyer when the item is delivered in accordance with section 6.
8. Right of Withdrawal
Unless the agreement is exempt from the right of withdrawal, the buyer can cancel the purchase within 14 days under the Right of Withdrawal Act.
The deadline is counted in calendar days and is extended if it ends on a holiday or weekend. The deadline is met if the notification is sent before it expires. The buyer should preferably send the notification in writing (form, email, or letter).
The withdrawal period begins:
-
The day after receipt of goods (for single items)
-
The day after the first delivery (for subscriptions)
-
The day after the last delivery (for multiple deliveries)
If the seller has not provided required information, the withdrawal period is extended by 12 months. If the information is given within these 12 months, the deadline is 14 days from the date the buyer receives the information.
Goods must be returned within 14 days of notifying the use of the right of withdrawal. The buyer bears the return cost unless otherwise stated. The seller cannot charge a fee for the use of the right of withdrawal.
The buyer may test the item to determine its nature and function. If the testing exceeds what is reasonable, the buyer may be liable for any reduced value.
The seller must refund the purchase price without undue delay, no later than 14 days from being notified. The refund may be withheld until the goods are received or the buyer provides proof of return.
9. Delay or Non-Delivery – Buyer's Rights
If the seller does not deliver the item on time and it is not the buyer’s fault, the buyer may:
-
Withhold payment
-
Demand fulfillment
-
Cancel the agreement
-
Claim compensation
The buyer should ideally submit claims in writing.
Fulfillment: The buyer can demand delivery unless it involves unreasonable cost or inconvenience for the seller.
Cancellation: The buyer must first set a reasonable grace period. If still not delivered, the buyer may cancel the purchase. Immediate cancellation applies if timely delivery was critical or explicitly agreed.
Compensation: The buyer may claim compensation unless the delay was due to unforeseeable circumstances beyond the seller’s control.
10. Defects – Buyer's Rights
If the item has a defect, the buyer must notify the seller within a reasonable time (at least within 2 months of discovery). Complaints can be made up to 2 years after purchase (5 years if the item is meant to last longer).
The buyer may:
-
Withhold payment
-
Request repair or replacement
-
Request a price reduction
-
Cancel the purchase
-
Request compensation
Complaints should preferably be made in writing.
Repair or Replacement: The buyer can choose between repair or replacement unless this is unreasonably costly for the seller. Repairs must occur within a reasonable time. The seller has the right to try correcting the issue twice.
Price Reduction: A proportional price reduction based on the defect.
Cancellation: If repair or replacement is not made and the defect is not minor, the buyer may cancel the purchase.
11. Seller's Rights if the Buyer Defaults
If the buyer does not pay or fulfill other obligations, and it is not the seller’s fault, the seller may:
-
Withhold the goods
-
Demand performance
-
Cancel the agreement
-
Claim compensation
-
Charge interest and fees for non-payment or uncollected items
12. Guarantee
A guarantee from the seller or manufacturer provides additional rights but does not limit the buyer’s statutory rights.
13. Personal Data
The seller is responsible for processing personal data. Data will only be collected as necessary to fulfill the agreement and will only be shared if needed to execute the agreement or as required by law.
14. Dispute Resolution
Complaints should be directed to the seller promptly. If unresolved, the buyer may contact the Norwegian Consumer Authority at +47 23 400 600 for mediation.
